Clear, transparent terms that define how you use Exterview, how we protect your data, and how responsibilities are shared across the platform.
By accessing or using the Exterview AI platform ("Platform"), you agree to be bound by these Terms & Conditions ("Terms"). If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.
"Platform" means the Exterview AI agentic talent intelligence platform, including all agents (EX Role, EX Match, EX Scan, EX Voice, EX Avatar, EX Code, EX Panel, EX Rank, EX HR), APIs, dashboards, and related services.
"Customer" means the organization that has entered into a subscription or pilot agreement with Exterview Inc.
"Authorized User" means any individual granted access to the Platform by the Customer.
"Candidate Data" means personal data of job applicants processed through the Platform.
"Tenant" means the Customer's isolated data environment within the Platform.
Exterview grants Customer a non-exclusive, non-transferable, revocable license to access and use the Platform during the subscription term, subject to these Terms.
Access is limited to Authorized Users within the Customer's organization. Customer is responsible for all activity under its Tenant.
Exterview reserves the right to suspend access if usage violates these Terms or poses a security risk to the Platform or other tenants.
Customer shall ensure all Authorized Users comply with these Terms.
Customer is responsible for maintaining the confidentiality of authentication credentials and for configuring role-based access controls (RBAC) within the Platform.
Customer shall promptly notify Exterview of any unauthorized access or security breach.
Customer retains ownership of all Customer Data and Candidate Data uploaded to or processed by the Platform.
Exterview processes data solely to provide the Platform services as described in the applicable Data Processing Agreement (DPA).
Exterview does not sell, share, or use Customer Data or Candidate Data for advertising, model training, or any purpose beyond service delivery.
Data is stored on Microsoft Azure with tenant-level isolation. Data residency options are available upon request.
The Platform produces AI-generated assessments, scores, and recommendations ("AI Outputs"). These outputs are advisory in nature and designed to support , not replace, human hiring decisions.
Customer acknowledges that AI Outputs are generated using structured evaluation frameworks and may contain limitations inherent to AI systems.
Exterview does not guarantee the accuracy, completeness, or suitability of AI Outputs for any specific hiring decision. Customer retains full responsibility for all hiring decisions.
AI Outputs include explainability components (score reasoning, competency breakdowns, and evidence trails) to support auditability.
Exterview retains all rights to the Platform, including its agents, algorithms, scoring models, user interface, and documentation.
Customer retains all rights to Customer Data and Candidate Data.
Anonymized, aggregated insights derived from Platform usage may be used by Exterview to improve the Platform, provided such data cannot identify any individual or organization.
Exterview targets 99.9% uptime for the Platform, measured monthly, excluding scheduled maintenance windows.
Scheduled maintenance will be communicated at least 48 hours in advance via email to the Customer's designated technical contact.
Service level commitments for Enterprise customers are governed by the applicable Service Level Agreement (SLA) executed between the parties.
The Platform is built on Microsoft Azure with enterprise-grade security controls including AES-256 encryption at rest, TLS 1.3 in transit, and tenant-level data isolation.
Exterview maintains the following certifications: SOC 2 Type II, ISO 27001, and ISO 42001.
The Platform is designed to support compliance with GDPR, India's Digital Personal Data Protection Act (DPDP 2023), and applicable employment regulations.

Fees are as specified in the applicable Order Form or Subscription Agreement.
Pay-as-you-go customers receive $2,000 in initial credits. Usage beyond credits is billed monthly in arrears.
Enterprise customers are invoiced per the terms of their executed agreement. Payment is due within 30 days of invoice date unless otherwise specified.
Exterview is available on the Microsoft Azure Marketplace. Customers procuring through the Marketplace are subject to Microsoft's billing terms in addition to these Terms.
To the maximum extent permitted by law, Exterview's total liability for any claims arising under these Terms shall not exceed the fees paid by Customer in the 12 months preceding the claim.
Exterview shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of revenue, data, or business opportunity.
This limitation does not apply to breaches of confidentiality obligations or willful misconduct.
Exterview shall indemnify Customer against third-party claims that the Platform infringes any intellectual property right, provided Customer promptly notifies Exterview and cooperates in the defense.
Customer shall indemnify Exterview against claims arising from Customer's use of the Platform in violation of these Terms or applicable law.
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law provisions.
Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, with the seat of arbitration in Wilmington, Delaware.
Exterview may update these Terms from time to time. Material changes will be communicated to Customer at least 30 days in advance via email.
Continued use of the Platform after the effective date of updated Terms constitutes acceptance.
